1. Introduction
These Terms and Conditions (the “Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you,” “your,” or “Customer”) and Welco.ai (“Company,” “we,” “us,” or “our”), concerning your access to and use of our website, AI receptionist services, and any other related services (collectively, the “Services”).
By accessing or using our Services, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.
We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the “Last Updated” date of these Terms, and you waive any right to receive specific notice of each such change. Your continued use of the Services after any such changes constitutes acceptance of the new Terms.
Territorial Scope (United States & Canada Only). Welco.ai currently markets, offers, and supports the Services solely within the United States and Canada. If you are located outside the United States or Canada, you should refrain from using the Services. Accessing the Services from any other jurisdiction is at your own risk, and you are solely responsible for compliance with local laws.
GDPR Disclaimer. Welco.ai is not certified or fully compliant with the EU General Data Protection Regulation (GDPR) and does not intentionally target or market the Services to residents of the European Economic Area (EEA). If you are an EEA resident, please do not use our Services.
2. Definitions
For the purposes of these Terms, the following definitions shall apply:
“Account” – The registered user account required to access and use certain aspects of the Services.
“AI Agent” – The specific instance of an AI receptionist that you create and customize through our platform.
“AI-Generated Content” – Any content, including but not limited to text, audio, transcripts, or summaries, that is generated by our AI platform based on user inputs or interactions.
“AI Platform” – Welco.ai’s proprietary web-based software platform programmed to help users build and deploy AI receptionist services.
“Compliance Requirements” – Legal and regulatory standards applicable to the use of our Services, including but not limited to telemarketing laws, privacy regulations, and telecommunications regulations.
“Customer Data” – All electronic data, text, messages, personal data, or other materials submitted to the Services by you through your Account.
“End User” – Any person or entity with whom you interact using the Services, including callers to your AI receptionist.
“Inbound Calls” – Calls that our AI receptionist answers on your behalf from third parties.
“Order Form” – Any service order form or statement of work specifying the Services subscribed to and the subscription term.
“Outbound Calls” – Calls initiated by our Services on your behalf to third parties.
“Personal Data” – Any information relating to an identified or identifiable natural person.
“Services” – Welco.ai’s AI receptionist platform, website, API, and any related services and functionalities.
“Subscription” – The fee-based arrangement for accessing our Services, subject to recurring charges.
“Subscription Term” – The period during which you have agreed to subscribe to the Services.
“User” – Any individual designated within your Account, including administrators and other authorized users.
3. User Eligibility
The Services are intended only for access and use by individuals at least eighteen (18) years of age. By accessing or using any part of the Services, you warrant and represent that you are at least eighteen (18) years of age and have the full authority, right, and capacity to enter into this agreement and abide by all terms and conditions. If you are not at least eighteen (18) years old, you are prohibited from both access and usage of the Services.
If you are entering into these Terms on behalf of an entity, company, or organization, you warrant that you possess the requisite authority to bind such entities to these Terms.
4. Description of Services
Welco.ai offers a comprehensive AI-powered receptionist service designed to handle business communications with human-like intelligence. Our Services include, but are not limited to:

- 24/7 AI Receptionist: Automated phone answering available around the clock, ensuring you never miss important calls
- Advanced Conversational AI: Human-like conversation capabilities providing callers with seamless interaction experiences
- Appointment Scheduling: Intelligent booking system that integrates with your calendar and availability
- Call Handling & Routing: Smart call forwarding and transfer capabilities to appropriate departments or individuals
- Message Taking: Comprehensive message capture and delivery system
- Multi-language Support: Support for multiple languages to serve diverse customer bases
4.2 Communication Capabilities
- Inbound Call Management: Professional handling of incoming calls with customizable responses
- Outbound Calling: AI-initiated calls for appointment reminders, follow-ups, and customer outreach
- Text Messaging: SMS capabilities during and after calls for enhanced communication
- Voice Recording & Transcription: Call recording with automatic transcription services
- Real-time Analytics: Comprehensive dashboard with call logs, analytics, and performance metrics
4.3 Customization & Integration
- Programmable Responses: Customizable AI behavior tailored to your business needs
- API Access: Integration capabilities for connecting with existing business systems
- Custom Scripts: Ability to create and modify conversation flows and responses
- CRM Integration: Seamless connection with popular customer relationship management systems
5. Account Registration and Management
5.1 Account Creation
To access the Services, you must create an Account by providing accurate and complete registration information. You agree to update this information as necessary to maintain its accuracy and completeness.
5.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your Account credentials and password
- Restricting access to your computer or device
- All activities that occur under your Account
- Immediately notifying us of any unauthorized use of your Account
5.3 Account Management
We reserve the right to refuse service, terminate Accounts, remove or edit content, or cancel orders at our sole discretion, particularly in cases of Terms violations or suspected fraudulent activity.
6. User Rights and Responsibilities
6.1 Your Rights
Subject to your compliance with these Terms and during the Subscription Term, you have a limited, non-exclusive, revocable right to access and use the Services for your internal business purposes in accordance with your subscription plan.
6.2 Your Responsibilities
6.2.1 Platform Usage
Role Definition: Welco.ai is solely a technology platform provider. We provide tools and infrastructure to facilitate AI receptionist services. You are solely responsible for how you use our platform, including:
- The content and nature of all calls made through our platform
- Ensuring all communications comply with applicable laws and regulations
- Obtaining necessary consents from call recipients where required
- Adhering to Do Not Call lists and other regulatory requirements
- The timing, frequency, and appropriateness of calls
6.2.2 Legal Compliance
You are solely responsible for ensuring that your use of the Services complies with all applicable laws and regulations, including but not limited to:
- Telephone Consumer Protection Act (TCPA)
- Telemarketing Sales Rule (TSR)
- State and local telemarketing regulations
- Privacy laws and regulations
- International telecommunications laws (if applicable)
6.2.3 Acceptable Use
You agree not to use the Services to:
- Engage in any unlawful activities or purposes
- Violate any local, state, national, or international laws
- Infringe on intellectual property rights of Welco.ai or third parties
- Transmit defamatory, harassing, abusive, or threatening content
- Distribute unauthorized spam or bulk communications
- Transmit viruses, malware, or other destructive code
- Gather personal information without proper consent
- Interfere with service functionality or security features
- Make calls to emergency services, public safety lines, or healthcare facilities
- Engage in robocalling or other abusive calling practices
- Use the Services to develop competing products or services
7. Compliance Requirements
7.1 Express Consent
You may only use the Services to contact persons who have provided prior express consent to be contacted or with whom you have an established business relationship, as defined under applicable law. We reserve the right to request evidence of such consent or business relationship.
7.2 Caller Identification
You must properly identify yourself on all calls by transmitting accurate Caller ID information. You may not:
- Block Caller ID information
- Use anonymous phone numbers
- Misrepresent the originating phone number or caller identity
7.3 Call Recording Consent
If call recording is enabled, you are responsible for obtaining proper consent from all parties in accordance with applicable laws and regulations in relevant jurisdictions.
7.4 Cooperation with Authorities
We reserve the right to cooperate with law enforcement authorities or regulators regarding any suspected illegal, fraudulent, or improper use of the Services. This may include disclosing information about your use of the Services and Account.
7.5 Compliance Responsibility
While we may provide features to assist with compliance, we are not obligated to educate you on compliance requirements. It is ultimately your responsibility to ensure compliance with all applicable laws and regulations. We are not responsible for any failure on your part to comply with these requirements.
7.6 HIPAA Disclaimer
Welco.ai is not a HIPAA-compliant service and should not be used to collect, store, or transmit Protected Health Information (PHI). If your organization or use case is subject to the U.S. Health Insurance Portability and Accountability Act (HIPAA), you must not use the Services for PHI without first obtaining a separate written agreement confirming HIPAA compliance.
8. Subscription Terms and Billing
8.1 Subscription Model
Access to the Services is provided on a subscription basis. Current subscription fees are outlined on our pricing page and are subject to change at our discretion. Subscriptions are billed in advance and will automatically renew unless canceled in accordance with our cancellation policy.
8.2 Subscription Plans
We may offer multiple subscription plans with different features, limitations, and pricing. Any materially different terms will be disclosed at sign-up or in other communications.
8.3 Payment Authorization
You authorize us or our authorized payment processors to charge your designated payment method upon subscription and each renewal. Unless otherwise stated, payment is due within thirty (30) days of invoice date.
8.4 Usage-Based Fees
In addition to subscription fees, you may incur usage-based charges including:
- Per-minute fees for AI receptionist engagement
- Reduced rates for transferred calls
- Additional charges for premium features or increased usage
These fees will be calculated monthly and billed with your subscription fee. All usage fees are non-refundable except as required by law.
8.5 Failed Payments
In the event of failed payments due to declined transactions, we reserve the right to:
- Attempt to collect payment using alternative methods
- Suspend your access to the Services
- Automatically cancel your subscription after reasonable notice
- Charge late fees as permitted by law
8.6 Price Changes
We reserve the right to change subscription fees and usage rates at any time, subject to providing advance notice of such changes.
9. Free Trial and Cancellation Policy
9.1 Free Trial Terms
We may periodically offer free trial periods. During trials:
- You may still be responsible for usage fees
- We may limit available features or usage
- We reserve the right to terminate trial access at any time
- Your subscription will automatically commence after the trial period unless canceled
9.2 Cancellation
You may cancel your subscription at any time through your Account settings or by contacting customer service. Following cancellation, access will continue until the end of the current billing period.
9.3 Refund Policy
Our Services are offered on a digital, subscription-based model. Refunds are generally not provided except:
- As required by law
- At our sole discretion based on specific circumstances
- Pro-rata refunds for material breaches by us that remain uncured
10. Intellectual Property Rights
10.1 Our Rights
Welco.ai retains all rights, title, and interest in the Services, including all related intellectual property rights. Any modifications, enhancements, or customizations to the Services remain our sole property.
10.2 Your Data Rights
You retain all rights to Customer Data you provide. However, we may collect, generate, and use data from your usage to improve our Services, subject to our Privacy Policy.
10.3 AI-Generated Content
- We retain all rights in the AI Platform and underlying technology
- You retain ownership of specific AI-Generated Content created through your use
- You grant us a non-exclusive, worldwide, royalty-free, perpetual license to use AI-Generated Content for improving our Services
- You agree not to use AI-Generated Content for unlawful or harmful purposes
- You acknowledge AI-Generated Content may not always be accurate or appropriate
10.4 User-Generated Content
By creating content through our Services, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, and distribute such content for service improvement and development purposes.
11. Privacy and Data Security
11.1 Privacy Policy
Our Privacy Policy, which is incorporated by reference, describes how we collect, use, and protect your information. We recommend reviewing our Privacy Policy to understand our practices.
11.2 Data Security
We implement appropriate technical and organizational measures to protect your information. However, no internet transmission or electronic storage is completely secure, and we cannot guarantee absolute security.
11.3 Confidentiality
Each party agrees to protect the other’s confidential information with reasonable care and use it only for purposes related to these Terms.
12. Service Modifications and Availability
12.1 Service Changes
We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) with or without notice. We are not liable for any modification, suspension, or discontinuance of the Services.
12.2 Usage Limitations
We may impose usage limitations including API call limits, data processing volumes, or AI model generations. These limitations vary by subscription plan and will be communicated appropriately.
12.3 Availability
We do not guarantee uninterrupted or error-free service availability. Services may be unavailable due to maintenance, technical issues, or circumstances beyond our control.
13. Third-Party Services and Links
13.1 Third-Party Integration
Our Services may integrate with third-party services or contain links to third-party websites. We do not endorse or assume responsibility for such third-party services.
13.2 Third-Party Terms
Your use of third-party services is subject to their terms and conditions. We are not liable for issues arising from third-party services.
14. Disclaimers and Limitations
14.1 AI Service Disclaimer
Our AI receptionist service involves artificial intelligence performing various communication tasks. While we strive for optimal performance, you acknowledge that we are not liable for:
- Actions or statements made by the AI receptionist
- Unauthorized access to or alteration of your data
- Violations of laws resulting from your use of our Services
- Any other matters relating to AI-generated interactions
14.2 Warranty Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14.3 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.
Our total liability for any claims related to the Services shall not exceed the amount you paid for the Services during the twelve (12) months preceding the claim.
15. Indemnification
You agree to indemnify, defend, and hold harmless Welco.ai and its officers, directors, employees, agents, and affiliates from any claims, damages, or expenses arising from:
- Your use or misuse of the Services
- Your breach of these Terms
- Your violation of applicable laws or regulations
- Content of calls made through our platform
- Violations of telemarketing or privacy laws
16. Term and Termination
16.1 Term
These Terms commence upon your acceptance and continue until terminated by either party in accordance with these Terms.
16.2 Termination by You
You may terminate your Account at any time. If we materially breach these Terms and fail to cure such breach within thirty (30) days of notice, you may terminate for cause and receive a pro-rata refund.
16.3 Termination by Us
We may suspend or terminate your access immediately for:
- Violation of these Terms
- Non-payment of fees
- Illegal or harmful use of Services
- Business reasons, including service discontinuation
16.4 Effect of Termination
Upon termination:
- Your access to Services ceases immediately
- We retain Customer Data for a limited retention period
- You remain liable for fees incurred before termination
- Provisions intended to survive termination remain in effect
17. General Provisions
17.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States of America, without regard to conflict-of-law principles.
17.2 Dispute Resolution
Any disputes arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware (USA), in the English language. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
17.3 Entire Agreement
These Terms, together with our Privacy Policy and any Order Forms, constitute the entire agreement between you and us regarding the Services.
17.4 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
17.5 Assignment
You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
17.6 Force Majeure
Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control, including acts of God, government actions, natural disasters, or technical failures.
17.7 Notices
All notices must be in writing and delivered to the addresses specified in your Account or as updated by either party.
17.8 Survival
Provisions that by their nature should survive termination will remain in effect, including intellectual property rights, indemnification obligations, liability limitations, and dispute resolution procedures.
